Definitions
– Confidential Information: Any non-public information that is proprietary to Ruxley, its clients, or partners, including but not limited to:
– Business plans, strategies, and financial information.
– Client lists and project details.
– Technical data, designs, and specifications.
– Intellectual property, including patents, trademarks, and copyrights.
– Trade secrets and any other sensitive information.
Definitions
– Employee Responsibilities: Employees and associates must:
– Protect confidential information from unauthorized access or disclosure.
– Use confidential information only for legitimate business purposes related to their job responsibilities.
– Immediately report any suspected breaches of confidentiality to their supervisor or the Human Resources (HR) department.
– Management Responsibilities: Managers are responsible for:
– Ensuring that employees are aware of this policy and their responsibilities regarding confidential information.
– Providing training and resources to help employees understand the importance of safeguarding confidential information.
Exceptions
Confidential information may be disclosed only under the following circumstances:
– With Consent: When written consent has been obtained from Ruxley or the relevant client or partner.
– Legal Requirements: When disclosure is required by law, regulation, or legal process. In such cases, the employee must notify their supervisor or HR before disclosing the information, if possible.
– Public Knowledge: Information that has become public knowledge through no fault of the employee is not considered confidential
Duration of Obligation
The obligation to protect confidential information continues indefinitely, even after the individual’s employment or association with Ruxley has ended
Consequences of Violating the Policy
Any employee or associate found to have disclosed confidential information without authorization may face disciplinary action, which may include termination of employment, legal action, and restitution for damages incurred by Ruxley or its clients.
Policy Review
This Non-Disclosure Policy will be reviewed annually or as needed to ensure its effectiveness and compliance with applicable laws and regulations. Updates will be communicated to all employees.
